PowerGrid Infrastructure Investment Trust (PGInvIT) was India's first PSU-sponsored InvIT, monetising five operating interstate transmission SPVs (approx. 3,699 circuit-km) held by Power Grid Corporation of India (PGCIL). The May 2021 IPO raised approx. ₹7,735 crore from public and institutional unit-holders, with PGCIL retaining O&M responsibility under long-term service agreements while ceding ownership economics on 35-year CERC-regulated tariff assets. The deal demonstrated that brownfield, cash-generating regulated infrastructure could be recycled without loss of operational control, setting a template later referenced in NMP-linked asset recycling discussions across power, roads, and gas transmission sectors.
As NMP 2.0 widens the asset base beyond roads and power to gas pipelines, ports, and railways, PGInvIT's structure offers the clearest precedent for PSU sponsors to retain operational control while transferring economic ownership. Future rounds will need similarly ring-fenced regulated cash flows, transparent O&M service agreements, and staged asset infusion pipelines to replicate the yield certainty that drew institutional capital in 2021, especially as InvIT/REIT frameworks mature for gas and hydrogen transmission assets.
Structuring, finance and procurement lessons
01
Separate ownership from operations
Retaining PGCIL as O&M operator under a fixed-fee service agreement let the sponsor monetise equity value while preserving technical control and safety accountability — a structuring template replicable for any regulated-tariff asset recycling under NMP 2.0.
02
Regulated cash flow is the real asset
The 35-year CERC cost-plus tariff, not the physical transmission line, was the bankable instrument; structuring and disclosure should foreground tariff certainty and escalation clauses to compress the cost of capital for unit-holders.
03
Anchor book de-risks public float
A strong anchor allocation to long-only institutional and sovereign investors ahead of the public tranche stabilised price discovery and reduced listing-day volatility — critical for first-of-kind PSU paper.
04
Portfolio, not single-asset, monetisation lowers risk
Bundling five SPVs diversified counterparty and right-of-way risk versus a single-asset InvIT, improving investor comfort and enabling a larger issue size than any one SPV could support alone.
05
Post-IPO asset infusion pipeline matters
Signalling a credible future asset-injection pipeline (from the sponsor's balance sheet) is essential to sustain InvIT trading multiples and support follow-on fundraising.
