  1. 2016

    NHAI conceives the Toll-Operate-Transfer model as an alternative to BOT/HAM for monetising completed, toll-generating highway stretches.

  2. 2018

    TOT Bundle 1 auctioned for approx. ₹9,681 crore covering approx. 681 km across Andhra Pradesh and Gujarat, India's largest infra monetisation deal at the time.

  3. 2019-2020

    Later bundles receive weak or below-reserve bids; NHAI redesigns bundle sizing, reserve pricing and stretch selection.

  4. 2020

    NHAI launches the National Highways Infra Trust (InvIT) as a parallel monetisation vehicle, attracting pension and sovereign investors.

  5. 2021

    National Monetisation Pipeline sets a multi-year target of approx. ₹1.6 lakh crore from highway asset recycling via TOT and InvIT routes.

  6. 2022-2023

    Cumulative NHAI monetisation through TOT bundles and InvIT rounds crosses approx. ₹1 lakh crore.

Why it matters

NHAI's TOT programme proved that operating, cash-generating infrastructure can be recycled to unlock upfront capital for new construction, without losing public ownership of the underlying asset. For Indian clean-energy developers, lenders and utilities, it is the reference playbook for monetising operating transmission lines, RE parks and hybrid/storage portfolios through InvITs or TOT-style concessions, reducing developer balance-sheet stress and recycling equity into the next pipeline of projects.

The India angle

The TOT/InvIT template is already being replicated in power: RE InvITs and transmission asset trusts are recycling capital from operating solar/wind/transmission portfolios, mirroring NHAI's bundling and reserve-pricing lessons. As discoms, CTU/STU transmission licensees and hybrid-storage developers look to monetise brownfield assets under TBCB and PPP structures, the same discipline — standardised contracts, transparent operating data and phased bundle sizing — will determine whether green-finance investors and multilateral lenders participate at scale.

Right-size the bundle, right-price the reserve

Early oversized bundles with aggressive reserve pricing saw weak bidder interest; later rounds succeeded only after recalibrating stretch selection and pricing to match investor risk appetite. Renewable/transmission asset bundles need similarly data-driven, iterative pricing rather than one-shot valuation.

Operating assets attract patient capital

De-risked, cash-flow-certain brownfield assets drew pension and sovereign funds seeking long-duration, inflation-linked returns rather than construction risk. RE and storage portfolios with proven generation/availability track records can similarly access lower-cost, long-tenor capital via InvIT or TOT-style structures.

Standardise contracts to cut due diligence

Uniform concession agreements and revenue-escalation formulas across highway bundles shortened bidder due diligence and improved price discovery. Standardised PPAs, tariff-escalation clauses and O&M benchmarks would similarly speed monetisation of RE/transmission portfolios.

Diversify monetisation vehicles

Running TOT auctions alongside an InvIT gave NHAI two complementary investor pools — strategic concessionaires and financial/InvIT unit-holders. Power-sector sponsors should likewise pair InvITs with direct asset-transfer routes to widen the capital base and improve execution certainty.

Data transparency is the real asset

Robust traffic, revenue and asset-condition data underpinned investor confidence in TOT bundles. For RE and storage assets, granular generation, availability and grid-curtailment data will be equally decisive in achieving fair valuations and lender comfort.
